Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern access to and use of the website, software, dashboards, integrations, reports, recommendations and related services provided by Stelloid AI (“Stelloid”, “we”, “us” or “our”). By creating an account, signing an order form, joining a pilot, connecting a third-party account or using the Services, the customer agrees to these Terms. If an individual accepts these Terms for a company or brand, that individual confirms that they have authority to bind that organization.

2. Provider

Stelloid AI is operated by Soumyadip Nag as a sole proprietorship registered in India, with its registered business address at 1L, CE/1/C/183, Anjuna Co-op. Housing Society, Street No. 198, CE Block, Action Area I, New Town, Kolkata, North 24 Parganas, West Bengal 700156, India. Questions may be sent to contact@stelloid.io.

3. The Services

Stelloid helps commerce businesses connect or upload business data, normalize information across platforms, view commercial performance, reconcile revenue and costs, set goals and receive recommendations. Features may include dashboards, forecasts, alerts, recommendation approval, progress tracking, report uploads and platform integrations. The available features may vary by customer, pilot, subscription, geography or connected platform.

4. Accounts and authorized users

• The customer must provide accurate account information and keep it current.
• The customer is responsible for users invited to its Stelloid workspace and for maintaining the confidentiality of credentials.
• The customer must promptly notify Stelloid of suspected unauthorized access.
• Stelloid may reasonably verify identity, business authority and ownership of connected accounts.

5. Third-party integrations

The customer may authorize Stelloid to connect to supported commerce, advertising, analytics, payment, inventory, fulfilment and related services (each a “Third-Party Service”). The list of supported integrations may change over time. The customer directs and authorizes Stelloid to access and process information from each connected service only for the purposes presented during connection, described in the Integration Register and permitted by the Privacy Policy.

The customer represents that it owns or is authorized to administer each connected account and has all rights and lawful bases required to provide the associated data. The customer remains responsible for complying with the terms, policies and laws applicable to each Third-Party Service.

Stelloid is an independent service. Shopify, Amazon, Meta, Google, Flipkart, bol, OTTO, Wayfair, ManoMano and other third-party names and trademarks belong to their respective owners. Unless expressly stated after formal approval, Stelloid is not endorsed, sponsored or certified by those parties.

6. Access permissions and actions

Stelloid will request only the access reasonably required for the relevant feature. The current version of the Services is intended primarily for read-only data access, analysis and recommendations. Stelloid will not change prices, listings, inventory, advertising campaigns or other external settings unless the customer separately enables and authorizes a feature that clearly describes the proposed write access or automated action.

7. Customer Data

As between the parties, the customer retains its rights in Customer Data. The customer grants Stelloid a limited, non-exclusive right to host, copy, transform, normalize, analyse and otherwise process Customer Data only to provide, secure, support and improve the customer-specific Services, comply with law and perform the parties' agreement.

Stelloid will not sell Customer Data or use restricted connected-platform data for third-party advertising or for training shared or general-purpose AI models unless separately authorized and permitted by the applicable platform and law.

8. Customer responsibilities

The customer is responsible for:

• the legality, accuracy and completeness of Customer Data;
• providing accurate cost, margin, inventory, replenishment, target and constraint information;
• reviewing imported data, calculations, forecasts and recommendations;
• obtaining required notices, permissions, consents and lawful bases;
• deciding whether and how to implement recommendations; and
• maintaining appropriate backups and operational controls for its business.

9. Recommendations and estimated impact

Stelloid's calculations, forecasts, opportunity scores, estimated impacts and recommendations are decision-support outputs based on the information available to Stelloid and the assumptions shown or configured. They may be incomplete, delayed or inaccurate where connected data is missing, provisional, unreconciled or incorrect.

Stelloid does not guarantee revenue, profit, margin, advertising performance, conversion, inventory outcomes, marketplace ranking or achievement of any goal. The customer is responsible for human review, approval, implementation, monitoring and stopping or reversing an action where appropriate.

10. Fees, pilots and payment

Fees, payment terms, pilot scope, subscription period, usage limits and any renewal terms will be stated in an order form, proposal, checkout page or other commercial document accepted by the customer. Unless that document states otherwise, taxes are additional and fees are non-refundable except where required by law. If an order form conflicts with these Terms, the order form controls for that commercial matter.

11. Confidentiality

Each party may receive non-public business, technical or commercial information from the other. The receiving party will use that information only to perform or receive the Services, protect it using reasonable care and disclose it only to personnel and service providers with a need to know and appropriate confidentiality obligations. This obligation does not cover information that is public through no breach, already lawfully known, independently developed or lawfully received from another source.

12. Acceptable use

The customer and its users must not:

• use the Services unlawfully or infringe another person's rights;
• connect an account without authority;
• upload malware or attempt unauthorized access;
• interfere with service integrity, rate limits or security controls;
• reverse engineer the Services except where the law does not permit that restriction;
• use the Services to build or train a competing product from Stelloid's confidential features or outputs;
• resell or sublicense the Services without written permission; or
• use platform data in a way prohibited by the platform that supplied it.

13. Intellectual property

Stelloid and its licensors retain all rights in the Services, software, interface, documentation, methods, templates and branding, excluding Customer Data. Subject to these Terms and payment of applicable fees, Stelloid grants the customer a limited, non-exclusive, non-transferable right to use the Services for its internal business purposes during the applicable subscription or pilot.

14. Feedback

If the customer voluntarily provides product feedback, Stelloid may use it to improve the Services without restriction, provided that Stelloid does not publicly identify the customer or disclose Customer Data without permission.

15. Third-party services and availability

Third-Party Services are controlled by their respective providers. Their APIs, reports, permissions, data definitions, settlement periods, return windows and availability may change. Stelloid is not responsible for an outage, restriction, suspension, data error or policy change caused by a Third-Party Service. Stelloid may modify or discontinue an integration where continued access is not technically, legally or commercially feasible.

16. Privacy and security

Stelloid will process personal data as described in the Privacy Policy and, where applicable, a data processing agreement. The customer must use reasonable security measures and grant access only to authorized users. Security information is available on our Security page.

17. Suspension

Stelloid may suspend access where reasonably necessary to address a security incident, unlawful use, material breach, non-payment, platform requirement or risk to Stelloid, its customers or third parties. Where practicable, Stelloid will provide notice and an opportunity to cure.

18. Termination and deletion

Either party may terminate as permitted by the applicable order form or pilot agreement. The customer may disconnect integrations at any time. Upon termination, the customer's right to use the Services ends. Stelloid will handle export, retention and deletion in accordance with the Privacy Policy, Data Deletion page, applicable platform requirements and law. Provisions that by their nature should survive—including confidentiality, intellectual property, disclaimers, liability and payment obligations—will survive.

19. Disclaimers

To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. Stelloid disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation. Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

20. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive or consequential losses, or for lost profits, revenue, goodwill or data, arising from the Services. Except for amounts that cannot legally be limited and any separately agreed exclusions, each party's total aggregate liability arising from the Services will not exceed the fees paid or payable by the customer to Stelloid during the twelve months immediately preceding the event giving rise to the claim.

21. Indemnity

The customer will defend and indemnify Stelloid against third-party claims arising from the customer's unlawful Customer Data, unauthorized connection of an account, breach of platform terms or material violation of these Terms. Stelloid will promptly notify the customer of a covered claim and provide reasonable cooperation. This provision is subject to applicable law and any different terms in an order form.

22. Changes to the Services or Terms

Stelloid may update the Services and these Terms. We will post the updated Terms and revised effective date. We will provide reasonable advance notice of a material change and request renewed acceptance where appropriate. Adding a new integration with substantially the same read-only data and purposes may be reflected in the Integration Register without requiring a complete rewrite of these Terms.

23. Governing law and disputes

These Terms are governed by the laws of India. The parties will first attempt in good faith to resolve a dispute within thirty days after written notice. Any unresolved dispute will be referred to a sole arbitrator mutually appointed under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Kolkata, West Bengal, India, the language will be English, and the courts at that location will have jurisdiction over permitted court proceedings and enforcement.

24. General

These Terms, the Privacy Policy, applicable order form and any data processing agreement form the agreement between the parties concerning the Services. Neither party may assign the agreement without the other's consent, except in connection with a merger, reorganization or sale of substantially all relevant assets. If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. The parties are independent contractors.
